Welcome to Snow Leopard, Inc. ("Snow Leopard," "we," "us," "our"). By accessing or using our offerings (the "Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The account created by the User to access the Service.

Any data, information, or material uploaded to the Service by the User.
Data
User-generated data that is stored, processed, and managed using the Service.
Fees
Charges for the use of the Service, as specified in your Order Form.
Order Form
An order document or statement of work, in physical or electronic format, specifying the services, products, subscription term, associated fees, and any other commercial terms agreed upon by Snow Leopard and the User.
Subscription Term
The period during which you are subscribed to the Service, as specified in your Order Form.
User
Any individual or entity who uses the Service.

The Snow Leopard website located at www.snowleopard.ai
3. Description of Service
Snow Leopard provides a cloud-based AI platform designed to enable enterprises to build production AI agents using structured business data. The Service includes AI model access, data management, analytics, tools, and documentation.
4. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use our Service. By using the Service, you represent and warrant that you have the authority to enter into and perform under these Terms and that doing so does not violate any other agreement. If you are accepting these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity.
5. Account Registration
To use the Service, you must register for an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for safeguarding your account credentials and for any activities under your account.
6. Use of the Service
6.1 Permitted Use
You may use the Service only in accordance with these Terms and all applicable laws, rules, and regulations.
6.2 Prohibited Use
You agree not to:

7.3 Data Storage and Retention
Information collected is stored in the United States. We retain information as long as necessary for legitimate business purposes or as required by law.
8. Fees and Payment
8.1 Fees
You agree to pay all applicable fees for the Service, as specified in your Order Form.
8.2 Payment
Payments are due on a monthly or annual basis as specified in your Order Form. Fees are non-refundable except as required by law.
8.3 Taxes
You are responsible for applicable taxes. Snow Leopard will invoice taxes where required, unless a valid exemption certificate is provided.
8.4 Suspension of Service
If your payment is 30 days overdue, we may suspend your access until payment is received.
8.5 Recurring Payment Authorization
By providing a recurring payment method, you authorize Snow Leopard to charge your method automatically during the Subscription Term until cancelled.
9. Service Modifications
We may modify or discontinue the Service at any time, temporarily or permanently, with or without notice. We are not liable for any modification, suspension, or discontinuation.
10. Termination
We may suspend or terminate your account at our discretion, with or without cause, effective immediately. Upon termination, your right to use the Service ceases.
11. Intellectual Property
11.1 Ownership
Snow Leopard and its licensors retain all rights, title, and interest in and to the Service, including intellectual property rights.
11.2 Restrictions
You may not:
Modify, copy, or create derivative works based on the Service.
Reverse engineer, decompile, or disassemble the Service.
Use the Service to develop a competing service.
11.3 Feedback
Any feedback you provide may be used by Snow Leopard without obligation.
12. Confidentiality and Security
12.1 Confidentiality
You agree to keep confidential all non-public, proprietary information disclosed by Snow Leopard for three (3) years after disclosure.

We implement reasonable measures to protect data. No method is completely secure; see our Privacy Policy for details.
13. Usage of Marks
By using our Service, you grant Snow Leopard permission to display your name, logo, and Service usage description in marketing materials, adhering to any guidelines you provide.
14. Support
Snow Leopard provides support via documentation and email. Response times are not guaranteed.
15. Aggregated Data
Snow Leopard may use anonymized, aggregated data from the Service to improve performance and analytics. No individual user is identifiable.
16. User Responsibilities
16.1 Compliance
You must comply with all laws in connection with your use of the Service.

Provide accurate and complete account information and update as needed.

Maintain the security of your account and notify us of unauthorized access.

19. Limitation of Liability
To the maximum extent permitted by law, Snow Leopard is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill, from:

20. Governing Law
These Terms are governed by the laws of California, without regard to conflict of law principles.

22. Additional Provisions
22.1 Assignment
You may not assign these Terms without Snow Leopard’s consent. Snow Leopard may freely assign.
22.2 Force Majeure
Snow Leopard is not liable for failures due to causes beyond its reasonable control.
22.3 Entire Agreement
These Terms constitute the entire agreement regarding the Service.
22.4 Severability
Invalid provisions do not affect the remainder of these Terms.
22.5 Amendments and Waivers
Amendments are effective upon posting. Continued use constitutes acceptance.
22.6 Subpoenas
We may respond to lawful requests and notify you where permissible.
22.7 Subcontractors
Snow Leopard may use subcontractors and remains responsible for their performance.
22.8 Independent Contractors
The parties are independent contractors; no partnership or employment relationship is created.
22.9 Export Control and Economic Sanctions
You agree to comply with all applicable export and sanctions laws. You are not located in or a national of any restricted country.
22.10 Dispute Resolution
Disputes will be resolved first by good faith negotiation, then by binding arbitration under the rules of the American Arbitration Association, in San Francisco, California. Each party bears its own costs; arbitrator fees are split equally.
